These Terms and Conditions ("Terms") govern access to duplify.com and Duplify portals, content, and related online services. By accessing or using them, you agree to these Terms. A separate written agreement controls if it conflicts with these Terms.
Business services
Duplify provides strategic consulting and related business services. Website information is general in nature and is not legal, tax, accounting, investment, or other regulated professional advice. Engagement scope, deliverables, fees, and responsibilities are established in a separate agreement when applicable.
Accounts and security
You must provide accurate account information, maintain the confidentiality of credentials and recovery codes, use required multi-factor authentication, and promptly notify Duplify of suspected unauthorized access. You are responsible for activity performed through your account unless prohibited by law.
Authorized portal use
Portal access is limited to authorized users and approved business purposes. You may not attempt to bypass security, access another user's information, probe or disrupt systems, introduce malicious code, scrape restricted content, or use the services unlawfully.
Documents, projects, and electronic signatures
Users may submit requirements, documents, approvals, and electronic signatures. You represent that you are authorized to submit that information and to act for the identified organization. Electronic records, timestamps, signatures, and audit data may be used as evidence of an action or agreement to the extent permitted by law.
Confidential information
Portal access does not replace a confidentiality agreement. Confidentiality obligations are governed by any applicable nondisclosure agreement or services agreement. Users must handle restricted information according to their agreements and access permissions.
Intellectual property
Duplify and its licensors retain rights in the website, platform, branding, software, templates, and Duplify-provided content. Except as expressly authorized, you may not copy, modify, distribute, reverse engineer, or create derivative works from them. Client materials remain subject to the applicable engagement agreement.
User-provided content
You retain rights you hold in content you submit. You grant Duplify permission to host, process, reproduce, and transmit that content as reasonably necessary to provide, secure, document, and support the services. You must not submit content that you lack authority to provide.
Third-party services and links
Third-party services and websites are governed by their own terms and privacy practices. Duplify is not responsible for third-party content, availability, or practices.
Availability and changes
We may maintain, modify, suspend, or discontinue website or portal features. We do not promise uninterrupted or error-free availability, but we will use commercially reasonable efforts to operate and protect the services.
Disclaimers
To the fullest extent permitted by law, the website and online services are provided "as is" and "as available." Duplify disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. Some jurisdictions do not permit certain disclaimers.
Limitation of liability
To the fullest extent permitted by law, Duplify will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity arising from use of the website or online services. Any limitations in a separate written agreement will control for that engagement.
Suspension and termination
Duplify may restrict or terminate access when reasonably necessary to protect users, systems, legal compliance, or contractual rights. Terms that by their nature should survive termination will remain effective.
Governing law
Unless a separate written agreement states otherwise, these Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules. Applicable courts located in Missouri will have jurisdiction, subject to any enforceable dispute-resolution agreement.
Changes to these Terms
We may update these Terms. The effective date shown on this page identifies the current published version. Continued use after an update constitutes acceptance to the extent permitted by law.
